Terms and conditions
This Agreement governs your use of the SEOlytika platform (https://seolytika.com) and its content.
By using our services and website, you agree to comply with this Agreement and accept the terms and conditions below. The Agreement is legally binding on the User using the site and on the Site Administrator.
This Agreement regulates the behavior of any User without exclusions and concerns all sections and pages of the Site.
The User is obliged to read the terms and conditions before registering for the Service. Registration for the Service means that the User has read and accepted all the rules of the Agreement.
- General terms and conditions
1.1. This Agreement is a membership agreement. By registering for the Service, the User fully accepts the terms of the Agreement.
1.2. This Agreement, once accepted, is valid in its electronic format and it is not necessary to sign it.
- Subject of the agreement
2.1. Under this Agreement, the Site Administrator will provide the User with its services (hereinafter the "Service").
2.2. The User must read the entire text of this Agreement before registering.
2.3. The Agreement will apply to any updates and new versions of the Service.
2.4. This Agreement can only be modified by the Site Administrator without any restrictions.
2.5. By using the Service, the User fully accepts all changes and additions to the Agreement.
2.6. The SEOlytika Service is the result of the intellectual work of the Site Administrator. The Site Administrator holds the exclusive rights to the Service, the content and all copies relating to the Service.
- Terms of use of the service
3.1. To use the Service, the User undertakes to provide reliable and complete information about himself via the registration form and undertakes to keep this information updated. Upon completion of the registration process, the User can use the selected login (unique name of his user account) and password to access the personal area of SEOlytika.
3.2. The login must not violate generally accepted norms and must not appear offensive to other users.
3.3. Once the login has been chosen, it can no longer be changed.
3.4. When registering in the Service, the User obtains a personal account which requires an annual subscription to cover the costs of the Service. You can get information about the types of services and costs on the "Pricing & Plans" page of the website. Services can be purchased through a 100% upfront money transfer for the selected service based on your annual rate plan.
3.5. By registering for the Service, the User agrees to receive emails from SEOlytika. These emails include: promotional newsletters, technical and marketing emails. The User can unsubscribe from the newsletter at any time.
3.6. The User is granted a free trial period of 7, 10 or 15 days depending on the promotion active at the time of registration, at the discretion of the Site Administrator. The trial period starts from the first registration to the Service. The site Administrator will decide which services and functions are available to the User during the trial period.
3.7. Paid services are considered as purchased and delivered to the User if the Site Administrator does not receive any complaint from the User within three working days from the time of delivery.
3.8. The site Administrator will provide technical assistance to the User for any question relating to the functioning of the Service and the services offered in the timescales dictated by the number of requests in the queue.
- Your rights and obligations
User obligations:
4.1. The User cannot share the personal login and password used to access the Service with third parties. The User is responsible for the security and confidentiality of his login and password. In the event of unauthorized access to the User's login and password and/or account, the latter is required to immediately inform the Site Administrator.
4.2. The User must not carry out actions that violate the legislation of the Italian State or that could cause malfunctioning of the Service.
4.3. The User may not use software that allows the loading and automatic processing of the web pages of the Service, for the purpose of extracting data from them.
4.4. The User must not sell or transfer his personal SEOlytika Account to third parties.
4.5. The User must not use a Project in such a way as to violate the legislation of the Italian State.
4.6 The User will not be able to make any claim against the Site Administrator in the event that the data released by the Service is incorrect or does not correspond to the data released by other platforms.
User rights:
4.7. The User has access to the Service 24/7 except when technical maintenance is performed or when emergency maintenance is required to eliminate breakdowns or malfunctions from the Service.
4.8. The User has the right to use the Service and the Projects created by him within the limits and possibilities of the Service and in accordance with the conditions established by the Agreement.
4.9. The User has the right to choose any Paid Service Plan, the cost will be decided by the Site Administrator based on the current rates and promotions. The User must have a balance required to purchase a subscription. Before making a payment, the User must know the rules for making the payment
4.10 The User has the right to request the cancellation of his Account and of the personal information stored in the system. The Account and the saved information will be deleted within 7 working days from the date of the request (excluding any periods of closure for holidays, holidays, personal or health problems which could lengthen the times) and all SEOlytika data history recorded up to that moment will be deleted.
4.11. The User is aware and accepts that the Site Administrator does not reimburse services purchased but not used.
- Rights and obligations of the Site Administrator
Obligations of the Site Administrator:
5.1. The Site Administrator must provide access to the Service upon registration.
5.2. The site administrator must provide a continuous service except in cases where there are platform failures or failures caused by external factors (third-party services essential to the functioning of the site, hosting, third-party APIs, bugs that compromise the site's functionality , server side updates, technical problems of any type) beyond the control of the Administration, from temporary interruptions for maintenance or for bugs that require extraordinary maintenance.
Site Administrator Rights:
5.3. The Site Administrator reserves the right to cancel projects created by the User if the User's Account is not used for 60 days and to cancel projects with overdue and non-renewed payments after 30 days from the expiry.
5.4. The Site Administrator reserves the right to modify/delete a User's Account if it:
- violates generally accepted norms of morality;
- Is offensive to other Users;
- Performs actions contrary to the principles of the nation;
- It is in national disagreement;
- It goes against the legislation of the Italian State.
5.5. The Site Administrator reserves the right to block access to projects created by the User in the event of late payments. Once the subscription has expired the updates of the insolvent account will be stopped. After 30 days the User's projects will be deleted from the system.
5.6. The Site Administrator reserves the right to modify, update the contents and features of the Service, including the modification of the interface, at any time without notifying the User in advance.
5.7. The Site Administrator reserves the right to suspend services to carry out maintenance and repairs or in emergencies without prior notice.
5.8. The Site Administrator is not responsible for any unlawful actions performed by the User during the purchase of paid services. The Site Administrator reserves the right to suspend or decline access to SEOlytika services if the User is suspected of being involved in an illegal act until the Site Administrator has investigated.
5.9 The site Administrator reserves the right to change the characteristics of the Service, the subscription rates, the length of the trial period and everything concerning the website and the services offered at any time and without notice at any time. The site administrator also reserves the right to suspend the service at any time due to operating problems, computer attacks, bugs, malfunctions deriving from third-party services necessary for the site to function, problems related to the hosting service, site upgrades and third party services.
- Management of responsibilities and disputes between the parties
6.1. The service is rendered in the existing look.
6.2. The site administrator is not responsible for the quality of the site, the data released by SEOlytika, the presence of errors in the software.
6.3. This Agreement will be governed by, construed in accordance with the laws of the State of Italy, without giving effect to its conflict of laws rules.
6.4. The Site Administrator reserves the right to unilaterally suspend the User's account if the User fails to fulfill his obligations. In the event that the User cannot fulfill any of the obligations under this Agreement, he must immediately inform the Site Administrator.
6.5. In the event of a dispute or dispute regarding the Agreement, the parties will attempt to resolve the issues by discussion. One party is obliged to send the other a complaint before applying to the Tribunal. User complaints should be sent electronically to: contact@seolytika.com.
- Other conditions
7.1. The Agreement enters into force upon registration of the User and is valid until the parties have fulfilled their obligations.
7.2. Either party may terminate this Agreement if the other party materially breaches any of its representations, warranties or obligations under this Agreement or commits another material breach.
7.3. This Agreement should not be construed as a partnership, joint venture or partnership between the Site Administrator and the User and does not impose any such liability on the parties. The parties to this Agreement are independent contractors and do not enter into any other type of employment relationship. Neither party has the power or authority to assume or create any obligation or liability on behalf of the other party.
- Warranties
8.1. The Site Administrator is not responsible and does not provide guarantees (including guarantees on copyrights) regarding information or services acquired through the Internet, even if these are available on the resources of the service.
8.2. The Site Administrator assumes no responsibility for direct or indirect losses for the User as a result of errors, interruptions in the functioning of the Service or other similar problems. The Site Administrator does not guarantee the operation of remote networks or POS payment systems, which allow the User to access the services, their payment and other functions that do not depend on the direct activity of the Site Administrator.
8.3. The User and the Site Administrator guarantee that:
- enter into this Agreement of their own free will;
- have read all the conditions set out in the Agreement;
- have understood and accepted the object of the Agreement;
- have the rights and permissions necessary to enter into this Agreement.
- This Agreement constitutes the sole and exclusive agreement between the parties and supersedes any prior agreements or agreements, written or oral.
- Jurisdiction and applicable law
9.1 These Terms and Conditions of Use are entirely subject to Italian law and interpreted according to the same, even if the contract presents international elements.
9.2. For any controversy deriving from or connected to these Terms and Conditions of Use, the Court of Bologna (Italy) is exclusively competent to decide, even if the contract presents international elements.
